These Terms of Service (“Terms”) govern your access to and use of the website located at sunorda.comand any related online resources (collectively, the “Services”) provided by Sunorda LLC (“Sunorda,” “we,” “us,” or “our”).

Please read these Terms carefully. By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.

1. Eligibility

The Services are intended for business use by individuals who are at least 18 years of age and who have the legal authority to enter into these Terms on behalf of themselves or the organization they represent. By using the Services, you represent and warrant that you meet these requirements.

2. Limited License to Use the Services

Subject to your compliance with these Terms, Sunorda grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Services solely for lawful business purposes and in accordance with these Terms.

3. Intellectual Property

The Services and all content, features, and functionality made available through them — including text, graphics, logos, icons, images, audio, video, software, and the selection and arrangement thereof — are owned by Sunorda or its licensors and are protected by copyright, trademark, and other intellectual property laws.

Except for the limited license granted in Section 2, nothing in these Terms transfers or grants any right, title, or interest in or to the Services or our intellectual property. Our trademarks, service marks, and logos may not be used without our prior written consent.

4. User Submissions

The Services may allow you to submit information, including through forms, assessments, scheduling tools, and communications (collectively, “Submissions”). You represent and warrant that any Submission you provide is accurate, that you have the right to share it, and that the Submission does not violate any third-party right or applicable law.

You grant Sunorda a worldwide, royalty-free, perpetual, irrevocable, sublicensable license to use, reproduce, modify, adapt, publish, and distribute Submissions as necessary to provide, maintain, evaluate, and improve the Services, and for our internal business purposes, subject to our Privacy Policy.

5. Prohibited Conduct

You agree not to, and not to permit or enable any third party to:

• Use the Services in any manner that violates applicable law or regulation, or that infringes the rights of any third party;
• Engage in any activity that interferes with or disrupts the Services or the servers or networks connected to them, including denial-of-service attacks, unauthorized scraping, or excessive automated requests;
• Attempt to gain unauthorized access to any portion of the Services, to other accounts, or to any computer systems or networks connected to the Services;

Any examples, case studies, or outcomes referenced are illustrative only and do not guarantee comparable results. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICES AND ALL CONTENT MADE AVAILABLE THROUGH THEM ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. SUNORDA AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND LICENSORS DISCLAIM ALL WARRANTIES, INCLUDING WITHOUT LIMITATION IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.

WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF HARMFUL COMPONENTS, OR THAT ANY INFORMATION OR CONTENT WILL BE ACCURATE, COMPLETE, OR RELIABLE.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL SUNORDA OR ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF, OR INABILITY TO USE, THE SERVICES, EVEN IF SUNORDA HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT WILL SUNORDA'S TOTAL CUMULATIVE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES EXCEED ONE HUNDRED U.S. DOLLARS (US $100). THE FOREGOING LIMITATIONS APPLY REGARDLESS OF THE BASIS OR FORM OF ACTION (WHETHER IN CONTRACT, TORT, STATUTE, OR OTHERWISE).

Some jurisdictions do not allow the exclusion or limitation of certain damages. To the extent any such exclusion or limitation is not enforceable in your jurisdiction, our liability will be limited to the smallest extent permitted by applicable law.

10. Indemnification

To the maximum extent permitted by applicable law, you agree to indemnify, defend, and hold harmless Sunorda and its affiliates, officers, directors, employees, agents, and licensors from and against any and all claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or in any way connected with: (a) your access to or use of the Services; (b) your Submissions; (c) your violation of these Terms; or (d) your violation of any third-party right, including any intellectual property or privacy right.

11. Modifications to the Services and Terms

We may modify, suspend, or discontinue the Services, in whole or in part, at any time and without liability. We may also revise these Terms from time to time. The “Last updated” date at the top indicates when the Terms were last revised. Material changes will be communicated through the Services or by other appropriate means. Your continued use of the Services following any change constitutes your acceptance of the revised Terms.

12. Termination

We may suspend or terminate your access to the Services at any time, for any reason or no reason, with or without notice. Sections of these Terms that by their nature should survive termination — including Sections 3, 4, 5, 7, 8, 9, 10, 13, 14, and 15 — will survive any termination of your access to or use of the Services.

13. Governing Law

These Terms and any dispute arising out of or related to them or the Services are governed by the laws of the State of Delaware, without regard to its conflict-of-laws principles. Subject to Section 14, any action or proceeding arising out of or related to these Terms or the Services will be brought exclusively in the state or federal courts located in Delaware, and you consent to the personal jurisdiction of those courts.

14. Dispute Resolution

Before initiating any formal proceeding, the parties agree to attempt in good faith to resolve any dispute arising out of or related to these Terms or the Services through informal negotiation by sending a written notice describing the dispute to legal@sunorda.com. If the dispute is not resolved within sixty (60) days of such notice, either party may pursue available legal remedies in accordance with Section 13.

15. General

These Terms, together with our Privacy Policy and any other terms or notices that we may make available with respect to specific features of the Services, constitute the entire agreement between you and Sunorda with respect to the Services and supersede all prior or contemporaneous understandings on the subject.

Our failure to enforce any provision of these Terms is not a waiver of that provision or any other. If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will continue in full force and effect. You may not assign or transfer these Terms or any rights or obligations under them without our prior written consent; we may assign these Terms without restriction. Headings are for convenience only and have no legal effect.
